What is BRSR and does our India subsidiary need to file it?
BRSR, mandated by SEBI, requires the top 1,000 listed companies by market cap to report against nine principles covering environmental impact, employee and human rights practices, stakeholder engagement, and business conduct, structured around a mix of quantitative disclosures and narrative reporting. Since it's tied to Indian stock exchange listing status, a private, unlisted India subsidiary of a foreign multinational is not directly in scope, regardless of its size or turnover.
Where it becomes relevant to an unlisted subsidiary is if the subsidiary is deemed a 'material subsidiary' feeding into a listed Indian parent or group entity's consolidated BRSR disclosure, or if a foreign parent voluntarily wants ESG data collected on a BRSR-aligned basis for consistency across its India operations even without a strict legal requirement. Companies planning an eventual India listing, or that sit within a group structure with listed entities elsewhere, are often better served building BRSR-aligned data collection processes early rather than treating it as a requirement to address only once triggered.
