What compliance starts immediately after incorporating an India company?
Several compliance deadlines start counting from the date shares are allotted to the foreign parent, not from incorporation itself. Form FC-GPR, reporting the foreign direct investment to the RBI, is due within 30 days of allotment and is one of the most commonly missed early deadlines. A statutory auditor must be appointed within 30 days of incorporation. A declaration of commencement of business must be filed before the company can start operations or borrow money. GST registration, if the company's activity requires it, should be assessed early rather than after the first invoice is due.
Foreign promoters frequently underestimate how much compliance activity is front-loaded into the first 60-90 days rather than spread evenly across the first year.
