Registered Office Requirements in India: What Foreign Companies Get Wrong
A registered office needs a physical address with proof of right to use it, a virtual office or a director's personal residence can work, but the documentation requirements catch first-time filers off guard.
Every Indian company needs a registered office address at the time of incorporation, or within 30 days of incorporation, with documentary proof: a utility bill no older than 2 months, and a No Objection Certificate (NOC) from the property owner if the company doesn't own the premises. A virtual office or coworking space address is acceptable, provided the operator issues the correct NOC and utility documentation, not all virtual office providers are set up to do this correctly.
A common early mistake is using a director's personal residence as the registered office without getting a proper NOC from the property owner (if rented) or without realizing this creates a public record tying a personal address to the company on the MCA portal.
Confirming the registered office provider can actually furnish MCA-compliant documentation, before signing a lease or virtual office agreement, avoids a documentation scramble at the point of filing.
